MyVizion End-User License Agreement (Terms of Use)

Version: 2.0 Effective Date: 2026-08-20 Legal entity: Novo Brazil Brewing Co., 901 Lane Ave, Chula Vista, CA 91914 Contact: legal@myvizion.ai Privacy Policy: https://myvizion.ai/legal/privacy/

1. Who We Are and What This Agreement Covers

Legal entity (today): the MyVizion application ("the Service") is operated by Novo Brazil Brewing Co., 901 Lane Ave, Chula Vista, CA 91914 ("we", "us") — today, for its own restaurants. A Texas entity is planned; this agreement will be updated when that entity becomes the contracting party. When we serve external restaurant-group clients, each client's written agreement is the primary contract and this Agreement governs the day-to-day use of the application by that client's authorized users.

MyVizion provides data analytics and reporting services for restaurant businesses: we connect to the business systems a restaurant already uses — point-of-sale, accounting, banking, inventory, and reservations — and turn that data into dashboards, forecasts, financial reports, and AI-assisted analysis for the business that owns the data.

This End-User License Agreement ("Agreement") governs access to and use of the Service at https://myvizion.ai — including its subdomains and the APIs and MCP endpoints we provision — and the data services behind them, by anyone who accesses them with an account or credential we issue ("you"). We provision accounts; when we do, we make this Agreement and our Privacy Policy available to you. By accessing or using the Service after they have been made available to you or your organization, you agree to this Agreement. The Privacy Policy is not a contract schedule: it describes how data is collected, used, disclosed, and retained in connection with the Service.

If your organization has a separate written agreement with us (for example a master services agreement, statement of work, or data-processing agreement), that agreement controls over this one wherever they conflict.

2. Accounts and Eligibility

3. License

We grant you a limited, non-exclusive, non-transferable, revocable right to access and use the Service, during the term of your account, solely for the internal business purposes of the business you are authorized by. This is a subscription-style right to use a hosted service — no software is licensed for download, and no source code, model, or infrastructure right is granted.

You may not sublicense, resell, rent, lease, or operate the Service for the benefit of any third party (including as a service bureau), except as expressly agreed in a written agreement with us.

4. Acceptable Use

You agree not to:

We may suspend an account that presents a security risk or violates this section while we investigate; we will tell the affected business what happened as soon as reasonably practicable.

5. Third-Party Connections

The Service connects to third-party platforms at the direction and with the authorization of the business — for example Toast (point-of-sale), Intuit QuickBooks Online (accounting), Plaid (bank connections), OpenTable (reservations), and MarketMan (inventory). For each connection:

MyVizion is not endorsed, certified, or sponsored by Intuit, Plaid, Toast, or the other platforms named above, except to the extent a platform lists us as a connected application.

6. Data Ownership and Intellectual Property

7. AI-Assisted Features

Parts of the Service use large language models to answer questions and generate analysis about the business's own data. These features:

If the business asks us to provision an MCP or similar endpoint and connects it to a third-party AI application of its choice (for example Claude or ChatGPT), the business is responsible for authorizing that connection, reviewing that provider's terms, and controlling which users can use it; data returned through that connection is received by that application under the business's own terms with that provider. Section 5 applies to such connections, and we may disable the endpoint if it presents a security risk or violates this Agreement. Section 4 of the Privacy Policy describes only our own AI processing.

8. Availability and Changes to the Service

We work to operate, secure, and maintain the Service, but we do not promise uninterrupted availability in this Agreement — planned maintenance, provider incidents, and third-party API changes can cause downtime. Any service-level commitment, if agreed, lives in a written agreement with the business. We may improve, change, or discontinue features of the Service; if a change materially reduces functionality a business depends on under a written agreement, that agreement's terms apply.

9. Term, Suspension, and Termination

10. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE". TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTY ARISING FROM COURSE OF DEALING OR USAGE OF TRADE. WE DO NOT WARRANT THAT THE SERVICE WILL BE ERROR-FREE OR UNINTERRUPTED, THAT DATA FROM CONNECTED PLATFORMS WILL BE COMPLETE OR CURRENT, OR THAT AI-GENERATED OUTPUT WILL BE ACCURATE.

11. Limitation of Liability; Indemnity

TO THE MAXIMUM EXTENT PERMITTED BY LAW: (a) NEITHER PARTY IS LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, OR DATA, ARISING FROM OR RELATED TO THE SERVICE; AND (b) OUR TOTAL AGGREGATE LIABILITY ARISING FROM OR RELATED TO THE SERVICE IS LIMITED TO THE FEES PAID TO US FOR THE SERVICE BY THE RELEVANT BUSINESS IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY, OR ONE HUNDRED US DOLLARS (US $100) IF NO SUCH FEES WERE PAID. THE CAP IN CLAUSE (b) DOES NOT APPLY TO (i) A PARTY'S FRAUD OR WILLFUL MISCONDUCT, OR (ii) YOUR (OR YOUR BUSINESS'S) INFRINGEMENT OR MISAPPROPRIATION OF OUR INTELLECTUAL PROPERTY. NOTHING IN THIS SECTION LIMITS LIABILITY THAT CANNOT BE LIMITED BY LAW.

This Agreement is not a data-processing agreement or a commercial services agreement. If we process another organization's data, or if fees are charged, a written agreement (MSA/SOW/DPA) is required and its liability and indemnification terms control for that business and its authorized users.

The business that authorized your account will indemnify and defend us against third-party claims, damages, and reasonable attorneys' fees to the extent arising from that business's, or its users', use of the Service in violation of Section 4 or of applicable law, except where a written agreement allocates responsibility differently. This obligation does not apply to an individual user for conduct taken in good faith in the course of that user's authorized work for the business; you remain personally responsible for claims arising from your unauthorized use, intentional misconduct, or violation of law.

12. Changes to This Agreement

We may update this Agreement as the Service or the law changes. The effective date at the top always reflects the current version, and material changes will be summarized in the change log below and noticed by email to account addresses or by a notice in the application before the changed terms apply — except where a change must take effect sooner to comply with law, a connected platform's requirements, or to address a security risk, in which case we will give notice as soon as reasonably practicable. For material changes, we may also require you to accept the updated Agreement at your next sign-in; the recorded acceptance then applies to the updated version. If you do not agree with a change, stop using the Service and contact us.

Change log:

VersionDateSummary
1.02026-03-10Internal-tool agreement (Novo Brazil Brewing employees/contractors only).
2.02026-08-20Rewritten for MyVizion as a service offering, reviewed adversarially (internal 3-lens pass + two independent external LLM reviews): named the operating legal entity; defined provisioned accounts, named users, service credentials, and administrator MFA; scoped the license as a hosted-service right covering subdomains, APIs, and MCP endpoints; added acceptable-use terms including user confidentiality and an express carve-out for a business's own data; described third-party connections, revocation, our responsibility for tokens we hold, and a non-affiliation statement; stated data rights ("as between") and our IP in the platform; added AI-features accuracy and no-professional-advice terms, including customer-connected AI applications; added availability, suspension/termination, disclaimers, a liability cap with fraud/willful-misconduct and IP carve-outs, a business-level indemnity with good-faith protection for individual users, and a statement that paying or externally connected clients require a written MSA/SOW/DPA; replaced continued-use acceptance with availability-based assent and advance notice of material changes (with an urgency exception); added general terms (severability, assignment with notice, entire agreement, waiver, force majeure, notices); set governing law.

13. Governing Law and Disputes

This Agreement is governed by the laws of the State of California, without regard to conflict-of-laws rules, and disputes will be resolved in the state or federal courts located in San Diego County, California — unless a written agreement between us and the relevant business provides otherwise, in which case that agreement's governing law and forum also apply to the use of the Service by that business's authorized users. When the planned Texas entity becomes the contracting party, this section will be updated accordingly.
